Investment Criteria Targeting Growth & Value

UIB CAPITAL INVESTS PRIMARILY in management buyouts and growth equity transactions. We are interested in several types of opportunities, including:

  • Investments in private, mature companies with positive cash flow
  • Acquisitions of a business division from a larger company, through divestiture or spin-off
  • Recapitalizing or restructuring family-owned or closely-held businesses seeking to achieve liquidity, manage an owner's divestiture, or raise equity without going public
  • "Going-private" transactions of small-cap public companies
  • Investments in corporate revitalizations, to fund rapid internal growth

In selecting investments with a strong potential for such longer-term growth, we look for the following general characteristics:



Transaction Types

As a group we are primarily focused on control investments, including management buyouts, spin-offs, recapitalizations, growth capital, public-to-private transactions, and liquidity events for family businesses. On a selective basis, we consider partnering with other sponsors in larger transactions, in co-investment opportunities, and in under-performing operations where we can add significant value.

Company Size

UIB Capital targets the middle-market, understood as companies with revenues greater than $20 million and EBITDA of $5 million or more. Smaller investments in companies with exceptional growth opportunities will be considered on an individual basis.

Investment Size

We invest US $10 million to $100 million of equity in each transaction.

Industry Focus

We focus on industry sectors—consumer products, healthcare, business services, and manufacturing—that are relatively immune to rapid technological change.

Management Team

UIB Capital looks for management teams with a demonstrated ability to develop and execute a strategic growth plan, while promoting a culture of innovation and quality.

Exit Strategies

We seek exits to a range of buyers, including strategic and financial buyers, as well as through partial liquidations and initial public offerings (IPOs).

UIB Capital's long-term objective is to invest in lower middle-market companies. In the firm's early stages, we may also consider larger investment transactions in companies with high growth potential or underperforming operations, through co-investments with our strategic partners.
